This seminar covers the following topics:
- Basics of contract law including offer and acceptance, impact of the
Uniform Commercial Code, assignments and termination.
- Commonly enforced equity principles such as the law of agency,
apparent authority and implied consent.
- Legal liability-identifying sources and trying to control or avoid
- Important distinctions between corporations and other business
- Concepts in intellectual property law...trade secrets, trademarks,
confidentiality provisions and proprietary information.
The course is intended to provide students with an understanding of:
- Basic contract law, including offer & acceptance, assignment and
- The role of the Uniform Commercial Code
- Commonly enforced equitable principles such as Respondeat Superior and
the Rule of Avoidable Consequences
- Basic agency law concerning apparent authority and implied authority
- Important distinctions between corporations and other types of business
- Fundamental concepts behind trademarks, copyrights and patents
At the end of the course, students will be able to:
- Identify contract situations subject to the Uniform Commercial Code
- Identify and explain basic contract elements
- Recognize instances of apparent or implied authority
- Identify the threshold distinctions among patents, copyrights and
trademarks as different types of intellectual property
- Apply expected value analysis and decision tree analysis to project
scenarios and make recommendations based on these models.
- Explain the importance of the concept of corporate limited liability
- Students will demonstrate the foregoing by means of discussions and
exercises throughout the course.
